Spin-off jako forma transferu technologií

Abstract

Cílem práce je zmapování a zhodnocení aktuální situace týkající se univerzitních spin-offů v České republice. Při tvorbě práce byly využity metody rešerše, deskripce, analýzy, syntézy, komparace a e-mailového dotazníkového šetření. Práce je strukturována do pěti číslovaných částí. V první části je představeno téma transferu technologií a spin-off jako jedna z jeho forem. Druhá část je zaměřena na výskyt pojmu spin-off v aktuálních národních strategiích. Třetí část je věnována pravidlům pro zakládání spin-offů. Ve čtvrté části jsou zachyceny zkušenosti se zakládáním a fungováním spin-offů. Pátá část obsahuje checklist pro zakladatele a manažery spin-offů. V závěru práce jsou zodpovězeny čtyři otázky položené v jejím úvodu – je konstatováno, že (i) spin-offy jsou pro Českou republiku strategickým tématem, (ii) zakládání spin-offů se v České republice řídí pravidly, která nejsou přehledná, což ale není nepřekonatelnou překážkou, (iii) zkušenosti se spin-offy jsou v České republice spíše ojedinělé, avšak tato forma transferu je vnímána jako perspektivní a (iv) při zakládání spin-offu je třeba se soustředit zejména na sestavení byznys plánu, dostání příslušným veřejnoprávním registračním požadavkům a smluvní úpravu vztahů s univerzitou i obchodním partnerem.

The aim of the thesis is to map and evaluate the current situation regarding university spin-offs in the Czech Republic. When writing the thesis, methods of research, description, analysis, synthesis, comparison, and e-mail questionnaire survey were used. The thesis is structured into five numbered parts. The first part introduces the topic of technology transfer and spin-off as one of its forms. The second part focuses on the occurrence of the notion of spin-off in current national strategies. The third part is dedicated to the rules for establishing spin-offs. The fourth part captures the experience with the establishment and operation of spin-offs. The fifth part contains a checklist for spin-off founders and managers. In the conclusion of the thesis, four questions posed in its introduction are answered – it is stated that (i) spin-offs are a strategic topic for the Czech Republic, (ii) the establishment of spin-offs in the Czech Republic is governed by the rules that are not straightforward, nevertheless, this is not an insurmountable obstacle, (iii) the experience with spin-offs in the Czech Republic is rather isolated, however, this form of transfer is perceived as promising, and (iv) when setting up a spin-off, the focus should be on creating a business plan, compliance with the relevant public registration requirements and contractual arrangements with the university and the business partner.
