Podnikání spojených osob ve stavebnictví

Abstract

Bakalářská práce se zabývá podnikáním spojených osob v oboru stavebnictví. Práce začíná teoretickou částí, ve které jsou definovány pojmy spojených osob a mateřské a dceřiné společnosti z hlediska zákonu o dani z příjmu, zákonu o dani z přidané hodnoty, obchodního práva a účetních předpisů. Dále je pomocí běžných a obvyklých cen popsáno za jakých podmínek spolu mohou spojené osoby obchodovat. Okrajově je zmíněna problematika spojených osob na mezinárodní úrovni, kde se řeší transferové ceny a dodržování principu tržního odstupu. Vlastní práce se soustředí na jednoho vybraného zástupce spojených osob ve stavebnictví – skupinu EBM GROUP. Jedná se o skupinu společností, která svými vlastními kapacitami porývá všechny základní činnosti v oblasti stavebnictví a realit. Díky tomu skupina může vytvářet vlastní projekty. Spolupráce na jednom projektu je nejprve teoreticky popsána a následně předvedena na konkrétním projektu – Villa Resort Kolovraty. Celá skupina i jednotlivé společnosti jsou rozebrány z hlediska definovaných pojmů z teoretické části. V závěru je na základě teoretických poznatků a získaných informací o skupině EBM GROUP zhodnoceno, zda je podnikání spojených osob spíše výhodou, nebo nevýhodou.

The bachelor thesis is focused on the business of related companies in the area of civil engineering. The work begins with a theoretical part, which defines the concepts of related companies and parent and subsidiary companies in terms of the Income Tax Act, the Value Added Tax Act, commercial law and accounting regulations. The terms usual and current price are used to define the conditions under which related companies can trade together. The issue of connected persons at the international level is mentioned marginally, where transfer prices and compliance with the principle of market distance are addressed. The practical part is focused on the one representative of related companies in the civil engineering - the EBM GROUP. It is a group of companies which have own capacities to cover all basic activities in the area of civil engineering and real estate. Thanks to this, the group can create its own projects. Cooperation on one project is first theoretically described and then demonstrated on a specific project - Villa Resort Kolovraty. The whole group and individual companies are analyzed on the basis of information from the theoretical part. In the end, based on theoretical knowledge and information obtained about the EBM GROUP, it is evaluated whether the business of connected persons is rather an advantage or a disadvantage.
