Standardizace obchodních podmínek pro zhotovení stavby

Abstract

Tato práce řeší úroveň použití standardních obchodních podmínek pro zhotovení veřejných pozemních staveb. Cílem této práce je analyzovat standardní obchodní podmínky, zjistit přínos pro veřejné zakázky a provést průzkum uzavírání smluv dle vzorových dokumentů. Hlavním zjištěním je ucelené řešení složitosti smluvních vztahů vzorovými dokumenty, zejména ve vztahu ke změnám během realizace díla. Standardní smlouvy představují přínos v proaktivním přístupu, motivací předcházet konflikty a úspěšné dokončit dílo. Průzkum byl proveden metodou dotazování nejvýznamnějších veřejných zadavatelů a dodavatelů pozemních staveb v oblasti použití vzorových dokumentů, alokaci smluvních rizik a řešení sporů. Dále byla provedena analýza výroční zprávy veřejných zakázek s vyhodnocením podílu pozemních staveb na objemu stavebních prací. Provedeným průzkumem bylo zjištěno, že 70% zadavatelů nepoužívá standardní obchodní podmínky i přesto, že si je 40% z nich vědoma jejich částečnému přínosu. Dle analýzy pozemní stavby představují pouhých 26% celkového objemu veřejných zakázek na stavební práce. Podpora standardních obchodních podmínek pro pozemní stavby je v porovnání s infrastrukturními projekty minimální. Vhodným začleněním vzorových dokumentů do metodiky veřejných zakázek lze navrátit proaktivní přístup v oblasti veřejných zakázek. Práce je řešena v kontextu kritiky efektivity veřejné výstavby.

This thesis deals with the extent to which standard business terms and conditions are used in public building construction projects. The objective is to analyse the standard business terms and conditions, to identify their benefits for public contracts and to make a survey of contracts entered into according to the standardized documents. The main finding is an integrated solution to the complexity of contractual relationships through standardized documents - templates, in particular, with respect to variations during performance of the works. Standard contracts contribute to transparency and to motivation to prevent conflicts and to complete the works successfully. The survey was conducted by inquiring the most important public contracting authorities and building contractors about using the standardized documents, allocation of contractual risks and settlement of disputes. Further, the annual report of public contracts was analysed with evaluation of the share of building construction projects in the overall volume of the construction works. In the survey it was found out that 70% of the major contracting authorities do not use standard business terms and conditions, even though 40% of them are aware that these could be useful in some respects. According to the analysis, the building construction projects represent only 26% of the total volume of public construction contracts. The support to introducing the standard business terms and conditions in public building construction projects is minimum compared to infrastructure projects. An adequate integration of template documents into the methodology of public contracts can facilitate an active approach to the legislative regulation of public contracts. The thesis describes the issues in the context of efficiency of public construction.
